01Acceptance of these terms
These Terms & Conditions ("Terms") govern your use of eslustrategies.com and any related pages, forms and tools (the "Site"), operated by ESLU Strategies Inc, a Florida corporation ("ESLU," "we," "us"). By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.
You must be at least 18 years old and able to enter a binding agreement to use the Site. If you use it on behalf of a company, you confirm that you have authority to accept these Terms for that company.
02About ESLU and our services
ESLU provides management consulting services to small and mid-sized businesses, including strategy, operations, organization design, finance and performance, technology, risk and governance, project management, growth and executive advisory.
The Site describes our services for general information only. Using the Site, submitting a form or booking a consultation does not create a client relationship. A client relationship begins only when ESLU and the client sign a written agreement, such as a Master Services Agreement and Statement of Work, and those agreements control over these Terms for the services they cover.
03No professional advice
Content on the Site, including articles, insights and examples, is general business information. It is not legal, tax, accounting, audit, investment or financial advice, and it is not tailored to your situation. Consult your own licensed advisers before acting on it.
ESLU is not a law firm, accounting firm, registered investment adviser or broker-dealer. Any M&A, partnership or valuation work we perform is advisory only and does not include brokering securities transactions.
04Pricing and estimates
Prices, fee ranges and package descriptions on the Site are typical estimates for small and mid-sized clients. They are not offers, quotes or fixed prices and may change without notice. Binding fees, scope and payment terms are set only in a signed Statement of Work or engagement letter.
05Consultations and scheduling
When you book a consultation through the Site, you agree to provide accurate information. Please give at least 24 hours' notice to cancel or reschedule. We may decline or reschedule any consultation at our discretion. A consultation is an introductory conversation and does not create a client relationship or obligation for either party.
06Communications and text messages
By submitting your contact information, you agree that ESLU may contact you by email, phone or text message about your inquiry or appointment. If you separately opt in to marketing messages, we may send updates and offers; consent is not a condition of any purchase.
For text messages, message frequency varies and message and data rates may apply. Reply STOP to opt out or HELP for help at any time. Our Privacy Policy explains how we handle your information and confirms that mobile information is never shared with third parties for their marketing.
07Intellectual property
The Site and its content, including the ESLU name and logo, text, graphics, icons, designs, layouts and downloadable materials, are owned by ESLU or its licensors and protected by U.S. copyright, trademark and other laws. All rights not expressly granted are reserved.
You may view and print pages for your own personal, non-commercial use. You may not copy, modify, republish, distribute, sell or create derivative works from any content, or use the ESLU name or logo, without our prior written permission.
08Acceptable use
You agree not to: use the Site for any unlawful purpose; submit false or misleading information; impersonate any person or company; send spam or unsolicited messages through our forms; upload viruses or harmful code; attempt to gain unauthorized access to the Site, our systems or other users' data; scrape, harvest or copy content by automated means; or interfere with the Site's operation or security. We may suspend or block access for anyone who violates these Terms.
09Information you submit
You are responsible for the information you send through the Site and confirm that you have the right to share it. Please do not send confidential, proprietary or sensitive information until ESLU and your company have signed a nondisclosure or client agreement; information submitted through public forms is not treated as confidential.
If you send us ideas, suggestions or feedback, you grant ESLU a free, perpetual, worldwide license to use them without obligation to you.
10Third-party links and tools
The Site may link to or embed third-party websites and tools, such as scheduling, payment, video, map and social media services. We do not control and are not responsible for their content, policies or practices, and your use of them is governed by their own terms.
11Testimonials and results
Testimonials, case examples and results described on the Site reflect the experience of specific clients and are not a guarantee or prediction of future results. Every business is different, and outcomes depend on many factors outside ESLU's control.
12Disclaimer of warranties
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
13Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ESLU AND ITS DIRECTORS, OFFICERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).
Liability for services provided under a signed client agreement is governed by that agreement, not this section.
14Indemnification
You agree to defend, indemnify and hold harmless ESLU and its directors, officers, employees and contractors from any claims, losses and expenses, including reasonable attorneys' fees, arising from your misuse of the Site, information you submit, or your violation of these Terms or any law.
15Privacy
Your use of the Site is also governed by our Privacy Policy, which explains what information we collect, how we use and share it, and your choices.
16Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Site will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to their jurisdiction.
Before filing any claim, you agree to contact us and try in good faith to resolve the dispute informally for at least 30 days. The prevailing party in any action to enforce these Terms may recover reasonable attorneys' fees and costs. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL in any action related to these Terms or the Site.
17Changes to these terms
We may update these Terms from time to time by posting a new version on this page and changing the "Last updated" date. Changes take effect when posted. Your continued use of the Site after a change means you accept the updated Terms.
18General
These Terms, together with our Privacy Policy, are the entire agreement between you and ESLU about the Site. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; ESLU may assign them in connection with a merger, acquisition or sale of its business.
